Terms and Conditions of Use – Investment Health Triage

These Terms and Conditions of Use (hereinafter "Terms") govern the access and use of the **Investment Health Triage** application (hereinafter "the Application" or "the Service"), provided by **Artur Woszczyk** (hereinafter "the Owner").

1. Acceptance of Terms

By accessing or using the Application, the user agrees to be bound by these Terms and all applicable laws and regulations. If the user does not fully accept these Terms, they are not authorized to use the Service.

2. Nature of the Service and Legal Disclaimer

The Investment Health Triage is a **free, informational, and educational software tool** designed to apply standard Venture Capital (VC) market benchmarks to data provided by the user.

 **No Advice:** The results, scores, and analyses provided by the Service **do NOT constitute professional legal, tax, financial, or investment advice in any way.**
**No Substitution:** The Service is not intended to replace the opinion or service of a qualified professional (Lawyer, Accountant, Financial Advisor).
**User Responsibility:** The user is solely responsible for any decision made based on the information obtained. The Owner disclaims all liability for any loss or damage resulting from reliance on such information.

3. Intellectual Property and License of Use

The Application, including its source code, the algorithmic scoring methodology (the "Formula"), design, and informational content, are the exclusive property of the Owner.

**Formula and Algorithm:** The internal logic and Formula used to generate the "Health Score" are considered **trade secrets** and are not disclosed. The user may not attempt to deconstruct, decompile, or analyze the algorithm to extract the calculation methodology.
**License:** A non-exclusive, non-transferable, and revocable license is granted to the user to access and use the Application exclusively for personal, informational, and educational purposes.

4. User Obligations and Conduct

The user agrees to use the Service lawfully and correctly. It is strictly prohibited to:

Use the Service for illegal or unauthorized purposes.
Distribute or reproduce the Application's code or content without explicit written authorization from the Owner.
Attempt to interfere with the Service's operation, including DDoS attacks or attempts at unauthorized access (e.g., bypassing CSRF protection).
Provide false or misleading data for analysis (although the data is Zero-Knowledge, correctness is necessary for the educational objective).

5. Zero-Knowledge Methodology and Data

The Application is designed according to the principle of **Privacy by Design** (Art. 25 GDPR) and uses the **Zero-Knowledge** methodology for Term Sheet calculation.

Data entered for analysis (the 15 parameters) are processed **only in temporary memory (RAM)** and are immediately destroyed upon session closure.
**No Term Sheet data is saved or stored** in permanent databases by the Owner.

6. Limitation of Liability

The Service is provided "as is" and "as available," without warranties of any kind.

**Accuracy:** Although the Owner strives to keep the algorithm aligned with market benchmarks, no warranty is provided regarding the accuracy, completeness, or timeliness of the results provided.
**Indirect Damages:** In no event shall the Owner be liable for indirect, incidental, special, consequential, or punitive damages arising out of the use of or inability to use the Service.

7. Modifications to the Terms

The Owner reserves the right to modify or replace these Terms at any time. The "Last updated" date will be modified. Continued use of the Service after such modifications take effect constitutes implicit acceptance of the new Terms.

8. Applicable Law and Jurisdiction

These Terms are governed by Italian Law. For any dispute arising from the application of the Terms, the competent Jurisdiction shall be that of Milan, Italy.
